Terms of use

These terms apply to your use of the Observe IQ website and the Observe IQ platform. By creating an account or running a scan, you agree to them. If you are agreeing on behalf of a business, you confirm you have authority to do so.

What Observe IQ is

Observe IQ is a compliance-support tool. It scans website content and documents you specify against selected regulatory rules, identifies potential compliance risks, links findings to their regulatory source and suggests alternative wording.

Observe IQ does not provide legal or regulatory advice, does not guarantee regulatory compliance, and does not replace review by an appropriately qualified person. You remain responsible for your regulatory obligations and for decisions about your content.

Accounts

You must provide accurate registration details, keep your credentials secure and tell us promptly if you believe an account has been compromised. You are responsible for activity carried out through your account, including by your users.

Right to scan

You may only submit websites and documents that you own, control or are otherwise authorised to submit for scanning. By starting a scan you confirm you have that authority. We may refuse or stop a scan where we believe this is not the case, or where scanning would breach a third party's rights or terms.

Subscriptions, allowances and billing

• Plans are described on our pricing page, including the number of websites, monthly scan allowance, page limit per scan, PDF allowance and users included.
• One scan means a single run against one website, or one uploaded document. Re-running a scan uses a further scan from your allowance.
• Allowances reset at the start of each billing period and do not roll over.
• Fees are stated exclusive of VAT and are payable in advance, monthly or annually as selected.
• Annual plans are charged for ten months in advance.
• You may cancel at any time from account settings. Cancellation takes effect at the end of the current billing period, and we do not refund part-periods except where required by law.
• We may change prices with at least 30 days' notice, taking effect from your next renewal.

Acceptable use

Your use of Observe IQ must comply with our acceptable use policy, which forms part of these terms.

Your content and our content

You keep all rights in the websites, documents and other content you submit. You grant us a licence to process it in order to provide the service, including retrieving page content, extracting text and generating findings and suggested wording.

We keep all rights in the platform, the rulesets, the reports we generate and our documentation. You may use reports and suggested wording freely within your business and with your clients and advisers. You may not resell access to the platform without our written agreement.

Availability and support

We aim to keep the service available at all times but do not guarantee uninterrupted availability. Planned maintenance will be notified in advance where practical. Support is provided by email during UK business hours, with priority support on the Agency plan.

Limits of responsibility

To the extent permitted by law:

• The service and its outputs are provided without warranty that they will identify every potential compliance issue, or that any finding is complete or accurate.
• We are not liable for any regulatory action, penalty, loss of profit, loss of business or indirect or consequential loss arising from your use of the service or from decisions taken on the basis of its outputs.
• Our total liability in any 12-month period is limited to the fees you paid us in that period.
• Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Suspension and termination

We may suspend or terminate access where you materially breach these terms or the acceptable use policy, where fees remain unpaid after notice, or where continued provision would breach the law. You may close your account at any time.

On termination, you can export your reports until the end of the current billing period, after which data is deleted in line with our privacy policy.

Changes

We may update these terms. Material changes will be notified by email or in-app at least 30 days before they take effect for existing subscriptions.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where local consumer law gives you a different right.
